3. Authorized Access and Account Responsibilities

Access to the Platform is limited to individuals approved by Colors on Parade.

Users agree to:

  • Provide accurate account and business information.

  • Maintain the confidentiality of their login credentials.

  • Use only accounts and permissions assigned to them.

  • Notify Colors on Parade promptly of suspected unauthorized access or security incidents.

  • Refrain from sharing credentials with unauthorized individuals.

  • Comply with applicable corporate marketing policies and brand standards.

Users are responsible for activities performed through their accounts, except to the extent resulting from circumstances outside their reasonable control.

Colors on Parade may restrict, suspend, or revoke access for security concerns, misuse, violations of these Terms, or loss of authorization.

4. Franchisee Independence and Responsibilities

Franchise businesses operating under the Colors on Parade brand remain responsible for their own local operations, advertising representations, customer communications, and compliance obligations, subject to applicable franchise agreements and brand standards.

Participation in the Platform does not alter the legal relationship between Colors on Parade and its franchisees.

Each franchisee is responsible for ensuring that locally published content accurately reflects its services, service area, prices, promotions, qualifications, and availability.

The Platform does not guarantee advertising results, lead generation, customer acquisition, or revenue growth.

5. Brand Standards and Marketing Content

Users must comply with applicable Colors on Parade brand guidelines, marketing policies, and franchise agreement requirements.

Users may not:

  • Misrepresent services, pricing, warranties, certifications, or business capabilities.

  • Publish misleading or unsubstantiated advertising claims.

  • Use Colors on Parade trademarks or creative assets outside their authorized scope.

  • Publish material that infringes intellectual property, privacy, publicity, or other legal rights.

  • Post discriminatory, harassing, defamatory, fraudulent, or otherwise unlawful content.

  • Represent personal opinions as official corporate positions without authorization.

  • Circumvent required content approval processes.

Colors on Parade may establish, modify, and enforce reasonable content approval and publishing procedures.

6. Corporate Content and Intellectual Property

Colors on Parade and its applicable licensors retain ownership of their respective trademarks, logos, marketing templates, creative materials, proprietary content, and other intellectual property.

Authorized Users receive a limited, nonexclusive, nontransferable, revocable permission to use corporate-provided materials solely for approved Colors on Parade business and marketing activities, subject to applicable franchise agreements and licensing restrictions.

Users may not sell, sublicense, distribute outside the authorized network, or otherwise exploit corporate marketing assets without written authorization.

Access to the Platform does not transfer ownership of Colors on Parade intellectual property.

7. User-Submitted Content

Users may upload photographs, videos, graphics, captions, and other materials (“User Content”) for authorized business purposes.

Users represent that they have the necessary rights, permissions, and authorizations to upload, use, and publish their User Content.

Users retain any ownership rights they otherwise possess in their original User Content.

By submitting User Content, Users grant Colors on Parade a nonexclusive, worldwide, royalty-free license, for the period reasonably necessary to provide the Platform and carry out authorized Colors on Parade marketing activities, to host, reproduce, format, display, distribute, and publish that content within the scope of their authorization and applicable agreements.

This license does not override any separate written agreement governing ownership or permitted use of creative materials.

Users are responsible for obtaining appropriate permissions from photographers, employees, customers, vehicle owners, and other identifiable individuals when required.

8. Connected Social Media Accounts

The Platform may allow Users to connect authorized accounts on third-party social media services.

Users represent that they have the authority to connect and manage each account.

By connecting an account, Users authorize the Platform and its service providers to access and perform the functions they select or permit, subject to applicable account permissions and third-party platform rules.

Users acknowledge that:

  • Connected services maintain their own terms, privacy policies, and technical requirements.

  • Third-party platforms may change or discontinue integrations.

  • Scheduled publications may occasionally fail or require additional authorization.

  • Colors on Parade cannot guarantee uninterrupted operation of third-party services.

Users should periodically verify account connections, scheduled content, and published posts.

9. Publishing Authorization and Administrative Oversight

Colors on Parade may establish centralized or local publishing workflows, including approval requirements, campaign distribution, and permission-based access.

Users acknowledge that authorized administrators may, within their assigned permissions, review content, manage campaign materials, access available performance reporting, and administer connected business accounts.

Publishing authority must be exercised consistently with the applicable franchise agreement, business account ownership, permissions, and any separately agreed marketing authorization.

No provision of these Terms independently grants Colors on Parade unrestricted control over a franchisee-owned social media account.

10. Advertising Compliance

Users are responsible for ensuring that their marketing activities comply with applicable laws, regulations, and platform policies.

This includes, when applicable:

  • Truthful advertising and substantiation of claims.

  • Required disclosures for endorsements, testimonials, and sponsored content.

  • Customer consent and privacy requirements.

  • Intellectual property and image-use permissions.

  • Promotion, contest, and sweepstakes requirements.

  • Applicable email and electronic messaging laws.

Users must not upload confidential customer records, payment card information, sensitive personal information, or other unnecessary personal data into the Platform.

11. Privacy and Data Handling

Colors on Parade may collect and process information reasonably necessary to administer Platform accounts, provide authorized services, support Users, maintain security, and assess marketing performance.

The Platform may be operated using third-party technology and infrastructure providers, including PromoRepublic.

The collection, processing, retention, and sharing of personal information are subject to applicable privacy notices, service-provider agreements, and law.

Users should review the applicable Colors on Parade Platform Privacy Policy before using the service.

  • Reverse engineer or misuse proprietary software except as permitted by applicable law.

14. Suspension and Termination

Colors on Parade may suspend or terminate access when a User violates these Terms, presents a security risk, loses authorization, or no longer qualifies for access.

Following termination, Users must cease unauthorized use of corporate-provided materials and Platform resources.

The treatment of connected social accounts, retained content, and business data will be governed by applicable agreements, platform capabilities, and legal requirements.

Termination of Platform access does not itself terminate a franchise agreement.

15. Disclaimers

To the extent permitted by applicable law, the Platform is provided on an “as available” basis.

Colors on Parade does not guarantee specific social media reach, engagement, advertising performance, leads, sales, or other business outcomes.

Nothing in these Terms excludes warranties, rights, or obligations that cannot lawfully be excluded.

16. Limitation of Liability

In the event of a conflict, the applicable signed agreement controls to the extent of that conflict.

18. Changes to These Terms

Colors on Parade may update these Terms to reflect changes in Platform functionality, business operations, legal requirements, or security practices.

Material changes will be communicated through the Platform or another reasonable notification method.

Where required by law, additional consent will be obtained.

19. Governing Law
